Macauley Johnson, LLC 

My name is David Johnson and I founded Macauley Johnson, LLC (a sole proprietorship) in 2003 to provide experienced, professional financial management services to emerging and established companies requiring Chief Financial Officer (CFO) expertise on an interim, part-time or project basis.

I provide comprehensive, hands-on CFO services to no more than three clients at any one time, as this allows me the flexibility to be available “when and as” needed by the client.

Clients include: (i) entrepreneurial, development stage, venture backed companies and (ii) small to medium sized public companies.  Clients operate in various industries with most focused on the biotech/life science sector.

I have served as part-time CFO for multiple development stage, VC backed companies.  For these clients I am typically engaged at, or before, the closing of the initial Series A funding.  I am engaged by the technical/scientific founder (or one of the initial VC investors) to manage the “non-technical/non-science" activities, thus allowing the entrepreneur to focus on building value by advancing the company’s technology.  I am involved with most start-up clients for one to three years and then assist in the hiring of, and transition to, a full-time CFO when appropriate. 

These “non-technical/non-science" activities include assistance with: fund raising and related due diligence; securing and building out facilities; implementing business processes, financial systems and controls; setting up general accounting and administrative functions including IT, HR, benefit plans, insurance; budgeting and forecasting; engaging auditors and completing inception to date audit; implementing board, investor and internal management reporting including board and investor meetings and communications; preparing and managing the cap table; coordinating 409A valuations, etc.  I also draw upon a broad network of service providers including attorneys, CPA firms, IT infrastructure outsourcing, HR, risk management, valuation professionals, bankers and lenders.
